GENERAL INFORMATION

These General Terms and Conditions of Sale (hereinafter “General Terms”) are drafted in accordance with the legislative provisions of the Civil Code, Legislative Decree No. 70 of 09.04.2003 regarding information society services and electronic commerce, and Legislative Decree No. 206 of 06.09.2005 (the so-called Consumer Code), in particular Chapter I of Title III, Part III (Articles 45 to 67), and govern the offer and sale of products through the website shop.millefiorimilano.com (hereinafter the Site).

The products bearing the MILLEFIORI MILANO brand marketed on the Site (hereinafter the Products, also in the singular form) are sold by Onequity IV S.r.l., headquartered at Via Bigli, 15A – 20121 Milan (MI), registered in the Milan Chamber of Commerce (C.C.I.A.A.) under REA no. 2743893, Tax Code and VAT no. 13796520966, under license from Home Fragrance Italia S.r.l., Tax Code and VAT no. 12886810154, with registered office at Via del Commercio, 28 - 20811 Bernareggio (MB).

SCOPE OF APPLICATION

The General Terms apply to and govern all sales contracts concluded through the Site by Onequity IV S.r.l., as identified above, hereinafter “the Seller.”

The General Terms may be amended at any time; therefore, each User is required to consult them before proceeding with any purchase.

In any case, each sale will be governed by the version of the General Terms in force on the date the purchase order is sent.

The General Terms apply regardless of the User’s nationality, provided that the delivery of the products is to be made in one of the countries for which the Site provides the online sales service, as specified in point 2.

SHIPPING COUNTRIES

The purchase of Products through the Site is currently possible if the shipment is to be made to the following countries:

The Seller reserves the right to expand or reduce the list of countries referred to in point 2.

Delivery is also available to the Territory of the Republic of San Marino and the Vatican State.

PURCHASES ON THE WEBSITE - RESTRICTIONS

The purchase of Products on the Website is exclusively reserved for natural persons acting as consumers who are over eighteen years old.

A consumer is defined as a natural person acting for purposes unrelated to any commercial, entrepreneurial, artisanal, or professional activity they may carry out.

Purchasing through the Website implies the User's full knowledge and unconditional acceptance of the General Terms and Conditions.

INFORMATION FOR THE CONCLUSION OF THE CONTRACT

To purchase online, the User must fill out an order form in electronic format prepared by the Seller and send it electronically, following the instructions provided.

As required by law, before confirming the order, the Seller will provide the User with all information pursuant to Article 49 of the Consumer Code; in particular, information relating to the right of withdrawal is provided through the standard instructions on the right of withdrawal contained in Annex I, Part A, as per Article 1, paragraph 1 of Legislative Decree no. 21 of 21.02.2014.

To complete each order, the User must confirm the financial transaction corresponding to the payment of the price for the Products added to the shopping cart; to this end, at the end of the selection and confirmation procedure, the Website redirects the User to the payment system page (Shopify) which manages the transaction.

Orders that do not register the corresponding financial transaction are automatically canceled.

Once the validity of the payment method indicated in the order has been confirmed and authorized, the Seller will send the User a written confirmation of the order via email, to the address provided during login, as required by Article 51, paragraph 7 of Legislative Decree no. 206/2005.

The offer of Products through the Website constitutes a public offer pursuant to Article 1336 of the Civil Code; therefore, filling out and correctly submitting an order through the Website implies acceptance of the aforementioned offer. The contract is therefore considered concluded when the Seller becomes aware of the User's acceptance, formalized by means of the above order form.

However, the Seller reserves the right not to accept the order in case of failure to authorize payment by credit card or other electronic payment systems by the relevant provider.

The User may monitor the status of their order at any time by contacting Customer Service through the designated section or through the tracking number provided in the shipping confirmation email.

In any case, the User must always keep the order number communicated by the Seller, as it must be indicated in any communication with the Seller.

The languages available to conclude a sales contract through the Website are:

Italian

The User undertakes, once the online purchase procedure is completed, to keep the General Terms and Conditions, which they will have already reviewed and accepted as it is a mandatory step in the purchase procedure.

In case of non-acceptance of the order (Section 4.12), the Seller will promptly notify the User by email.

PRODUCT SELECTION AND AVAILABILITY

Products offered for sale through the Website are diffuser items, room fragrances, and accessories under the MILLEFIORI MILANO brand, listed in the catalog published on the Website at the time the User places the order.

The Product catalog may be periodically updated by the Seller, who therefore does not guarantee the continued availability of any product online; in no case does the Seller guarantee the availability of all sizes/versions for each item/color present in the catalog.

Each product in the catalog is accompanied by a descriptive sheet illustrating its main features; however, images and colors of the Products shown in the descriptive sheets may not faithfully correspond to the actual ones, due to the settings of the User’s computer systems or devices used to view the Website. Therefore, the published images should be considered indicative and subject to normal tolerances.

If, despite being selectable through the order form, the chosen product is not available, the Seller will promptly notify the User by email, proposing the termination of the sales contract and the consequent refund of the price, including any shipping costs if applicable and already paid.

PRICES, PURCHASE CONDITIONS AND PAYMENT METHODS

The sale prices are those published online at the time the order is finalized and are inclusive of VAT, if applicable according to the country of shipment of the Products. Payment will be made in Euros.

Prices indicated in the online catalog may be subject to change without prior notice. It is the User’s responsibility to verify the final price before placing the purchase order.

The Seller also reserves the right to apply different sales prices depending on the country of delivery of the Products.

Payment for the Products can only be made using the following methods:

  • Credit Card (Visa, MasterCard, American Express, Maestro, Carte Bancaire in France, Diners & Discover in the United States, JCB in Japan)
  • PayPal (this method automatically redirects the User to the PayPal payment page)
  • Google Pay

    We reserve the right not to accept, cancel, or refund the order if, due to glitches, bugs, or other issues, the product price displayed on the Website is erroneously significantly lower than the correct selling price. In any case, we will contact you to verify if you still wish to purchase the product at the correct price.

The sale price is charged at the time of shipment of the order.

DELIVERY METHODS, COSTS AND OTHER CHARGES

Products are delivered via couriers directly to the User at the shipping address specified during the order.

The Website allows delivery to an address different from the User’s own, provided it is within the User’s country of shipment indicated at the time of order completion; in any case, it is the User’s responsibility to provide all necessary details to ensure successful delivery (e.g., if the address belongs to a third party, specify the name on the doorbell/intercom where delivery should be made).

It is not possible to pick up Products purchased through the Website directly at the Seller’s warehouse.

Shipping costs and types may vary depending on the country and delivery method chosen by the User, as detailed in the table available on the Website.

These costs and any additional charges are borne by the User. The corresponding amount will be explicitly and separately shown in the order summary before the User submits the order, as well as in the order confirmation email referred to in article 4.

When the Products are handed over to the courier, the User will receive a confirmation email from the Seller indicating the name of the courier and shipment details.

Delivery times vary depending on the destination country and shipping method chosen.

In Italy, delivery is expected within one to five working days; in countries other than Italy, delivery times vary according to the chosen shipping method, as indicated in the table available on the Website.

Not all shipping methods offered by the courier contracted by the Seller are available for every country where Products can be purchased online.

Both in Italy and abroad, if the recipient is absent when the courier attempts delivery, the courier will leave a notice to arrange for a subsequent delivery, including contact details to schedule the second attempt.

The User can always check the order status via the tracking number provided in the shipment confirmation email or by contacting Customer Service through the designated section.

Delivery is considered complete when the consumer or a third party designated by them (other than the carrier) physically takes possession of the goods; from that moment, by law, the risk of loss or damage of the Products, unless caused by the Seller, transfers to the User.

USER OBLIGATIONS UPON DELIVERY

The User acknowledges that collecting the Products is an obligation arising from the sales contract concluded with the Seller.

If delivery attempts fail due to the recipient's absence, the package will be held in storage.

If not collected within the period indicated by the courier in the notice left to the User, the package will be returned to the Seller.

In this case, the contract will be considered terminated by law pursuant to article 1456 of the Italian Civil Code, through a simple communication sent by the Seller via email to the User, and the order will be canceled.

Within 15 days of such communication, the Seller will refund the amount paid by the User for the Products, deducting shipping costs for the failed delivery, return shipping costs to the Seller, and any other expenses incurred due to the User's failure to receive delivery.

Refunds will be credited using the same payment method used by the User.

After this communication, if the User wants delivery of the Products, a new order must be placed.

The Seller reserves the right to refuse orders from Users who have previously failed to receive delivery and for whom the Seller has enforced the termination clause above.

At receipt of the Products, the Customer must verify their conformity with the order, particularly:

  • The number of packages on the courier's delivery note matches the actual number received;
  • The packaging is intact and not damaged or tampered with.

Any anomalies (e.g., tampering, damaged packaging) must be noted in writing on the courier’s delivery document, and the User must refuse delivery. The User must also report the issue to the Seller’s Customer Service through the appropriate section.

The User is advised to sign the delivery document only after these checks.

If the User accepts delivery despite damaged or tampered packaging, they will lose the legal warranty rights for product conformity.

RETURNS

Returns are free for all EU countries.

For non-EU countries and exchange orders, return shipping costs are borne by the customer.

Exchanges are only available for the same product code in different sizes or colors.

The request must be made at the time of initiating the return, and the system will allow it only if availability is detected.

The exchange option is available only for countries within the EURO area.

RIGHT OF WITHDRAWAL

The User, as a consumer, has the right to withdraw from the sales contract as per Article 52 of Legislative Decree no. 206/2005 (Consumer Code), without any explanation or penalty.

The User may exercise this right within 14 days from the day they or a third party (other than the carrier) physically acquire possession of the Products.

For multiple goods ordered together but delivered separately, the withdrawal period starts from the day the User or third party acquires possession of the last item.

For goods delivered in batches or multiple pieces, the withdrawal period starts from possession of the last batch or piece.

Before the withdrawal period expires, the User must inform the Seller of their decision to withdraw, which can be done by:

The withdrawal is considered timely if the communication is sent before the period expires.

In the withdrawal communication, the User must specify which Products they want to return.

Upon receiving a timely withdrawal notice, the Seller will refund the User the full amount paid, minus any additional shipping costs (according to art. 56, paragraph 2, of Legislative Decree 21/14), without undue delay and no later than 30 days after receiving the Products back at their warehouse. The refund will be made using the same payment method used by the User.

After exercising the right of withdrawal, the User must return the Products without undue delay and in any case within 14 days from the communication date to the following address:

For compliance with the return deadline, Products are considered returned when handed over to the post office or carrier.

Products must be returned in the original packaging, including accessories such as packaging, sticks, tags, seals, etc.

The User may use postal service or a carrier of their choice for the return.

All risks of loss or damage during the return shipment are borne by the User.

As per Article 57, paragraph 2, of the Consumer Code, the User is liable for any diminished value of the Products resulting from handling other than what is necessary to establish their nature, characteristics, and functioning.

If the Seller finds a value reduction attributable to the User, they may deduct the corresponding amount from the refund and will notify the User within 14 days of receipt of the return.

Returns are free for all EU countries, but the customer pays for returns outside the EU and for exchanges.

LEGAL WARRANTY OF CONFORMITY

All Products sold through the Website are covered by the legal warranty of conformity under Articles 128 and following of the Consumer Code, applicable only to consumers.

The Seller is obliged to deliver goods that conform to the sales contract.

The Seller is liable for any lack of conformity existing at delivery that becomes apparent within two years from delivery.

To benefit from the warranty, the User must report defects within two months of discovery by contacting Customer Service with a detailed description of the defects.

Customer Service will respond with instructions for returning the defective Product, which will be at the Seller’s expense.

The Seller may require proof of purchase or other documents proving the sales date.

The legal warranty entitles the User to free repair or replacement of the Product, unless the requested remedy is impossible or excessively costly compared to the alternative.

If repair or replacement is impossible, excessively costly, not carried out within a reasonable time, or causes significant inconvenience, the User may request a price reduction or contract termination.

Minor defects do not entitle contract termination.

Warranty does not cover defects caused by accidental damage, improper use, or normal wear and tear.

PRIVACY

User data is processed in compliance with current personal data protection laws, as specified in the privacy notice provided during login.

All communications under these General Conditions sent by email will be delivered to the address provided by the User at login.

APPLICABLE LAW AND JURISDICTION

The sales contract is governed by Italian law.

Any disputes concerning the interpretation or execution of these conditions will be subject to the jurisdiction of the court of the User’s residence or domicile if the User is a consumer residing or domiciled in Italy.

If the User is not resident or domiciled in Italy, for disputes initiated by the Seller, the Seller may choose between the court of Milan or the User’s residence or domicile; for disputes initiated by the User, the exclusive jurisdiction is Milan.
